1. Scope

1.1 These Terms & Conditions apply to all contracts concluded between you (the consumer) and us (MONONODES.com) for the purchase of digital content and related services on a business-to-consumer (B2C) basis.

1.2 For the purposes of these Terms & Conditions, a “consumer” is any natural person who enters into a legal transaction predominantly for purposes that are outside their trade, business, or profession.

1.3 Each purchase grants a single-user license. Distribution, resale, or any use by multiple users is strictly prohibited.

3. Formation of the Contract

3.1 The product listings on MONONODES.com are not binding offers but rather invitations for you to place an order.

3.2 By clicking the “Buy Now” button, you submit a binding offer to purchase. A contract is formed when we accept your offer by sending you an order confirmation email, which is typically dispatched immediately after you place your order.

3.3 If, for any reason, we do not accept your offer (for example, due to technical issues or pricing errors), we will inform you promptly and refund any payments already made.



4. Purchases Are Final

4.1 No Refunds for Digital Downloads
By purchasing digital products from MONONODES.com, you agree that the contractual performance (i.e., making the product available for download) commences immediately. You acknowledge that your statutory right of withdrawal (cancellation) expires at the beginning of this performance in accordance with applicable EU consumer law for digital content.

4.2 Compatibility
Our PowerGrades & Generators are compatible with DaVinci Resolve Studio 17.2 and above. Certain features (e.g., Glow, Halation, Grain, DCTLs) are only available in the Studio version. LUTs and generators remain compatible with the Free version. Please check your DaVinci Resolve setup in advance.

4.3 Updates
Upon purchase, you are entitled to any free updates released for that specific product.

4.4 Online Courses
Access to any membership or online course account is limited to a single individual and is strictly non-transferable (including to schools, organizations, or businesses). Re-uploading, sharing, or distributing any course content is prohibited.



5. Prices

5.1 All prices displayed on MONONODES.com are total prices including VAT, which is calculated based on your country of residence in compliance with applicable tax regulations.

5.2 Additional costs (if any), such as transaction fees, will be indicated prior to checkout.



6. Instant and Automatic Delivery

6.1 Immediately after Purchase
Once you have successfully placed an order, your purchased digital product will be made available for download. You can find the download link on the checkout confirmation page and in the emails we send.

6.2 Email Sequence

  • (a) “Confirmation of Your Order” Email
    Sent immediately after your order is placed, confirming we received it. At this point, no payment has been deducted yet (depending on the payment method).
  • (b) “Order Complete” Email
    After payment is successfully processed, you will receive an “Order Complete” email containing a secure download link to the product. Only at this stage do we actually capture the payment from your account.
  • (c) “Invoice” Email
    You will receive a separate invoice email detailing your purchase and payment information.

6.3 Course Access
If you purchase an online course, you will receive a separate email to “Activate Your Account on MONONODES,” granting you immediate access to all pre-recorded course videos.

8. License Grant & Retention of Title

8.1 Scope of License

  1. Upon full payment, MONONODES.com grants you (the end user) a non-exclusive, non-transferable, and non-sublicensable license to use our software products for personal or commercial purposes.
  2. You may install the software on multiple computers, provided that all installations are used exclusively by you, the individual licensee.

8.2 Usage Restrictions

Until full payment is received, we reserve the right to revoke or suspend access to the software.

The software may not be copied, distributed, sublicensed, or otherwise shared with third parties, whether free or for a fee.

Unauthorized distribution, reproduction, or resale of the software or any license keys is strictly prohibited.



9. Limitation of Liability

9.1 General
While we strive to ensure our products function as described, we do not guarantee compatibility with all hardware or software setups beyond what is stated on the product page.

9.2 Extent of Liability

  • We accept unlimited liability in cases of willful misconduct and gross negligence.
  • For slight negligence, our liability only applies to essential contractual obligations (cardinal duties). In such instances, liability is limited to foreseeable damages typical for this type of contract.
  • Liability for personal injury or under mandatory legal provisions remains unaffected.

9.3 Exclusion of Further Liability
No claims beyond the scope described above can be made against us unless required by law.



10. Governing Law & Jurisdiction

10.1 Applicable Law
These Terms & Conditions shall be governed by the laws of Germany, without prejudice to any mandatory consumer protection laws in your country of residence.

10.2 Jurisdiction
If you reside in an EU/EEA member state, any disputes may be brought before the competent courts in that member state. Otherwise, the courts of Berlin, Germany, shall have non-exclusive jurisdiction.



11. Online Dispute Resolution

The European Commission provides a platform for Online Dispute Resolution (ODR) at https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.



12. Severability

Should any provision of these Terms & Conditions be deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. An invalid or unenforceable provision will be replaced by a valid one that aligns as closely as possible with the original intent.
